Terms of Service

1. Acceptance of Terms

By accessing or using ClearPath Clinic's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

ClearPath provides a cloud-based practice management platform for physical therapy and rehabilitation clinics, including scheduling, documentation, billing, patient engagement, and analytics tools.

3. Account Registration

To use our Services, you must register for an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4. Subscription and Payment

Our Services are provided on a subscription basis. By subscribing, you agree to pay the applicable fees as described in your order. Fees are non-refundable except as required by law or as specified in these Terms.

  • Subscriptions renew automatically unless cancelled
  • Price changes will be communicated with 30 days' notice
  • Failure to pay may result in service suspension

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Violate any applicable laws or regulations, including HIPAA
  • Transmit malware or interfere with the Services
  • Attempt to gain unauthorized access to our systems
  • Share account credentials with unauthorized users
  • Use the Services to harm or defraud others

6. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. For customers who are covered entities under HIPAA, our Business Associate Agreement applies to the handling of Protected Health Information.

7. Intellectual Property

ClearPath retains all rights to the Services, including all software, content, and intellectual property. You are granted a limited, non-exclusive license to use the Services during your subscription term.

You retain ownership of the data you input into the Services. You grant ClearPath a license to use this data to provide and improve the Services.

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability. We will provide notice of scheduled maintenance when possible.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEARPATH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO CLEARPATH IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless ClearPath from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

11. Termination

Either party may terminate the subscription with 30 days' written notice. ClearPath may suspend or terminate your access immediately for violation of these Terms. Upon termination, you may request export of your data within 30 days.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated with 30 days' notice. Continued use of the Services after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Travis County, Texas.
